Terms of Service

1. Agreement
By purchasing services from Perché AI Solutions ("Perché," "we," "us"), you ("Client") agree to these Terms of Service. These terms govern all services, including the AI Receptionist, Scheduling & Dispatch, Predictive Maintenance Engine, Lead-to-Cash Automation, and Managed Retainer services.
2. Services
We agree to build, configure, and manage AI automation systems as described in the service plan you purchased. Specific deliverables are outlined in the plan description at the time of purchase. We reserve the right to use third-party tools (including Bland AI, Vapi, Twilio, Zapier, and others) to deliver services.
3. Setup Fees & Retainer
Services require a one-time setup fee paid at the time of engagement. Monthly retainer payments begin after your system goes live. Setup fees are non-refundable once the build phase has begun (typically 5 business days after intake form receipt).
Monthly retainer fees are billed automatically via Stripe. Failure to maintain a valid payment method may result in service suspension after 7 days notice.
4. Minimum Commitment
All plans require a 3-month minimum commitment from the go-live date. After the initial 3 months, services are month-to-month and may be cancelled with 30 days written notice to perchesolutions@gmail.com.
5. Client Responsibilities
To deliver your services, you agree to:
- Complete the onboarding intake form within 5 business days of payment
- Provide access to your CRM and relevant business tools
- Respond to approval requests within 3 business days
- Notify us promptly of any changes to your team, service area, or CRM
- Maintain active subscriptions to any third-party tools required for your service (we will specify these during onboarding)
6. Performance Guarantee
If we fail to meet the performance targets established during onboarding (e.g., AI answer rate, booking rate), we will perform additional optimization at no charge. This guarantee does not apply if performance issues result from factors outside our control, including CRM downtime, third-party tool outages, or incomplete client information.
7. Intellectual Property
Call scripts, automation workflows, and system configurations we build for you are licensed to you for use during your active subscription. You do not own the underlying templates or frameworks. Upon cancellation, you retain access to your CRM data and call recordings but we are not obligated to transfer automation configurations.
8. Confidentiality
We treat all client business information as confidential and will not disclose it to third parties except as required to deliver your services or as required by law. We may reference your business type (not your company name) in general marketing materials unless you request otherwise.
9. Limitation of Liability
Our liability for any claim arising from our services is limited to the fees paid in the 3 months preceding the claim. We are not liable for lost revenue, missed calls, or business interruption resulting from third-party tool outages (Twilio, CRM providers, AI platforms, etc.).
10. Cancellation
After the 3-month minimum, you may cancel with 30 days written notice. No refunds are provided for the final month's retainer. Setup fees are non-refundable.
We reserve the right to terminate service immediately for non-payment, abusive conduct, or violation of these terms, with any prepaid retainer refunded on a pro-rata basis.
11. Governing Law
These terms are governed by the laws of the State of Ohio. Any disputes shall be resolved in Franklin County, Ohio.
